To review the Company%u2019s financial reporting process to ensure that it is accurate and disclose the Company%u2019s information adequately before proposing it to the Board of Directors.2. To review that the Company%u2019s in te rnal control system and internal audit system are appropriate, adequate and efficient; to consider the independence of the internal audit department; and to approve the appointment, transfer and dismissal of the head of internal audit department or the head of any other departments in charge of internal audit.3. To review that the Company%u2019s risk assessment system and management are appropriate, adequate and efficient.4. To review that the Company complies with the securities and exchange laws, the regulations of the SET and other laws relevant to the Company%u2019s businesses.5. To consider, nominate, propose to appoint or dismiss an independent person(s) to be auditor(s) of the Company; to determine its remuneration; to coordinate with the auditor(s) about the purpose, scope, guidelines and plan of the audit as well as any issues encountered during the audit that are considered significant by the auditor(s); and to attend a meeting with the financial auditor(s) without the management at least once a year.6. To consider connected transactions or transactions that may lead to a confict of interest to ensure that they are accurate, complete and in compliance with the laws and regulations of the SET,including disclosing the complete information of transactions, and reasonable and for the best interest of the Company.7. To review the accuracy of all reference documents and self-evaluation tools for anti-corruption under the Thailand%u2019s Private Sector Collective Action Coalition Against Corruption and to acknowledge the reports of fraudulent incidents. 8. To prepare and disclose an Audit Committee%u2019s report executed by the Chairman of the Audit Committee which must contain the following information and to disclose the same in the Company%u2019s annual report:%u2022 an opinion on the accuracy, completeness and reliability of the Company%u2019s financial reports;%u2022 an opinion on the adequacy of the Company%u2019s internal control system;%u2022 an opinion on the Company%u2019s risk management system;%u2022 an opinion on the compliance with the securities and exchange laws, the regulations of the SET or the laws relevant to the Company%u2019s business;%u2022 an opinion on the suitability of the financial auditor(s);%u2022 an opinion on the transactions that may lead to a confict of interest;%u2022 the number of the Audit Committee%u2019s meetings and the attendance of each committee member;%u2022 an opinion or overall observation of the Audit Committee based on the performance of its duties under the Charter of the Audit Committee; and%u2022 any other matters which, in the Audit Committee%u2019s opinion, should be made known to the shareholders and general investors regarding the scope of duties and responsibilities assigned by the Board of Directors.9. To request the management, executives, or employees of the Company to provide their opinions, attend meetings, or submit any relevant and necessary documents.10. To evaluate the performance of the Audit Committee on an annual basis, both group evaluation and/or individual evaluation, in order to use as a guideline to consider the Audit Committee%u2019s performance.11. To undertake any actions assigned by the Board of Directors subject to the Audit Committee%u2019s approval.In performing the duties of the Audit Committee as abovementioned, the Audit Committee shall be directly responsible to the Board of Directors.
